Classifications
ININCORPORATION
The beginning of an entity. The group does not record what preceded an incorporation, holding that nothing did.
COCONTINUING OPERATIONS
A period in which nothing was filed. The group considers these periods to constitute the substantial majority of its history and files them accordingly.
AAASSET ACQUISITION
The addition of a capital asset. Assets are recorded at acquisition and not thereafter. The group has never disposed of one in a manner it wished to record.
MUMEMORANDUM OF UNDERSTANDING
A non-binding statement of intent between two parties. The group notes that its only memorandum of understanding was subsequently binding in every respect that mattered.
DODISTRIBUTED OPERATIONS
A period during which the parties operated from separate territories. The group records the distance and not the cost of it.
CECAPABILITY EXPANSION
An increase in what an entity is able to do. Expansions are recorded once and are not subsequently itemised.
FRFACILITY RELOCATION
A change in the physical premises from which operations are conducted. The group notes that premises and operations are distinct.
UDUNSCHEDULED DOWNTIME
A period during which normal operations did not continue. The group records the interval and not its contents.
AQACQUISITION
The taking into the group of an entity that already existed elsewhere. Acquired entities are not distinguished from formed entities in any subsequent filing.
LILETTER OF INTENT
A declaration that a merger is intended. Between the letter and the merger the group conducted no further diligence.
MGMERGER
The combination of two entities previously operating in parallel. Mergers are not reversible and the group has never attempted one.
SFSUBSIDIARY FORMATION
The establishment of a new wholly-owned entity within the group. Formation is permanent. The parent company's obligations are not discharged by the passage of time.
